Mutual Confidentiality
This Non-Disclosure Agreement (the "Agreement") is entered into on 2025-12-19, between _______ (PARTY A) and _______ (PARTY B) (collectively, the "Parties").
The parties wish to discuss a potential business opportunity regarding discussing potential business collaboration (the "Purpose"). In connection with this Purpose, each party may disclose to the other certain confidential technical and business information.
1. Confidential Information
"Confidential Information" means any information disclosed by one Party to the other, either directly or indirectly, in writing, orally or by inspection of tangible objects, including without limitation documents, prototypes, customer lists, and financial information.
2. Non-Disclosure & Non-Use
Receiving Party agrees to hold all Confidential Information in strict confidence and shall not disclose it to any third party without Disclosing Party's prior written approval. Receiving Party shall not use the Confidential Information for any purpose other than the Purpose.
3. Term
The obligations of the Receiving Party under this Agreement shall survive for a period of 2 years from the Effective Date.
4. Return of Materials
Upon written request of Disclosing Party, Receiving Party shall promptly return or destroy all documents and other tangible materials representing the Confidential Information and all copies thereof.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India. The courts of Bangalore shall have exclusive jurisdiction.
